1. Interim notice

Proviora is finalizing its standalone published Terms of Service. Until that document is posted here, the terms governing your use of Proviora are the Master Services Agreement (MSA) signed between you and Proviora LLC at the time of onboarding.

If you do not have a signed MSA on file and you are using a Proviora-hosted service, please contact hello@proviora.com to request one.

2. Who we are

Proviora is operated by Proviora LLC, a Texas limited liability company. References below to "Proviora," "we," "us," and "our" refer to Proviora LLC.

3. Service description

Proviora offers a multi-tenant operations platform for telecom and connectivity service providers, including modules for voice, SMS, MVNO, iPBX, ILEC and CLEC operations, ISP subscriber management, CRM, ticketing, NOC, and billing. Detailed feature scope and service-level commitments are described in your MSA and in the order forms attached to it.

4. Acceptable use

You agree not to use Proviora for any unlawful purpose or in any way that:

  • violates applicable telecom regulations (FCC, state PUCs, equivalent foreign authorities)
  • attempts to interfere with or disrupt the platform's integrity or availability
  • transmits unsolicited bulk communications in violation of TCPA, CAN-SPAM, GDPR, or equivalent laws
  • circumvents per-tenant isolation, billing controls, or rate limits

The full Acceptable Use Policy is incorporated into your MSA.

5. Fees and billing

Pricing is governed by the order form(s) attached to your MSA. Published pricing on https://proviora.com/#pricing is indicative; your contracted rates supersede any published rates.

Invoices are due net 30 days from issue unless otherwise stated in your order form.

6. Term and termination

The term of your engagement with Proviora is set in your MSA. Either party may terminate for material breach with 30 days' written notice and a chance to cure.

Upon termination, Proviora will provide a reasonable data export window (typically 60 days) before deleting your tenant data per our retention policy.

7. Service-level commitment

Proviora targets 99.9% monthly uptime for the platform. SLA credits, exclusions, and measurement methodology are defined in your MSA.

8. Limitation of liability

Proviora's aggregate liability under your MSA is capped at the fees paid by you in the twelve months preceding the claim. Specific exceptions and indemnification terms are spelled out in your MSA.

9. Privacy

How we collect, use, and protect personal data is described in our Privacy Policy.

10. Changes

We will post a revised Terms of Service at this URL and notify customers by email at least 30 days before any material change takes effect.
